General Terms and Conditions (hereinafter referred to as "Terms and Conditions") of LexCom Informationssysteme GmbH (hereinafter referred to as "LexCom"; see the Legal Notice for further contact and company details), Rüdesheimer Straße 23, 80686 Munich, for the software products ASA Local, ASA WEB and ASA SQT (hereinafter referred to as "ASA products").

The user accepts these Terms and Conditions by clicking on the checkbox provided for this purpose during the ordering process or by selecting a subscription. Users can also access these Terms and Conditions at any time after conclusion of the contract by clicking on the "Terms and Conditions" link available on www.myasaweb.com, www.myasainfo.com and www.myasasqt.com.
The following terms and conditions apply to all contracts between users of ASA products and LexCom regarding the use of ASA products. Users of ASA products are exclusively entrepreneurs (Section 14 BGB).
The ASA products consist of the following applications: 1) Local ASA installation with the ASA Installer (ASA Local), 2) ASA WEB, 3) ASA SQT (Service Quotation Tool) and 4) myASAinfo
Deviating, conflicting or supplementary Terms and Conditions shall not become part of the contract unless their validity is expressly agreed in writing.
When ordering an ASA product, the user receives login details (myASAinfo ID / company ID, user name and password) that enable the user to (a) access an "ASA Local Installer" to download, install and register ASA Local, or (b) access www.myasainfo.com, www.myasaweb.com and www.myasasqt.com on the respective websites, as well as via additional websites such as www.servicequotation.com or www.partsdata24.com to ASA ADD-ONs.
ASA Local, ASA WEB and ASA SQT offer users the opportunity to search for original spare parts from Mitsubishi Motors Corporation (hereinafter referred to as "Mitsubishi Motors"). In addition, users have the option of searching for additional data (ASA ADD-ONs) approved by the local/regional Mitsubishi importer or distributor. Furthermore, the "Service Quotation Tool" (ASA SQT) enables users to create and exchange quotations based on predefined menus and "Vehicle health checks" (VHC).
ASA Local and ASA WEB also offer users the option of searching for original spare parts from many other manufacturers. To do this, users click on the "partslink24" tab to be redirected to the "partslink24" online portal. Via partslink24, users can send non-binding online order enquiries to participating order recipients (usually official dealers) and thus place orders. partslink24 offers 98.5% availability on a monthly average, apart from a scheduled maintenance window on Sundays between 6:00 a.m. and 4:00 p.m. (German time) and causes beyond LexCom's control.
In providing its services, LexCom is not responsible for (a) the completeness of the spare parts, vehicle menus or VHC data entered in its database, vehicle menus or VHC data, nor (b) for the completeness and accuracy of the data and information provided by manufacturers, importers or distributors (including their general terms and conditions), as the creation of this data is beyond LexCom's control. LexCom will immediately inform the respective manufacturer of any defects in the data and provide corrected data. All spare part prices displayed are recommended retail prices set by Mitsubishi Motors or by local Mitsubishi Motors importers or dealers. Binding price information can only be provided by the respective seller.
Within the scope of the provision of the "Service Quotation Tool" (ASA SQT), the compilation of spare parts and labour value sets in the form of "menus" is to be understood as non-binding suggestions and work aids for users. The suggested spare parts and labour rates are based in part on empirical values and are compiled on the basis of information provided by Mitsubishi Motors and do not claim to be accurate or complete. The user is solely responsible for the accuracy and completeness of quotations created on the basis of the menus offered.
All web-based components of ASA products are hosted by LexCom and offer a monthly average availability of 98.5% – apart from scheduled maintenance windows and causes beyond LexCom's control.
The user has the option of exporting shopping baskets from ASA, ASA WEB and ASA SQT and transferring them to their “Dealer Management System” (DMS).
In addition, the user can receive and process order enquiries from independent workshops via the multi-brand online portal "partslink24" and forward them back to the customer, provided that partslink24 is active in the user's country and the user has been activated for this service by their importer. LexCom cannot guarantee that prices will be displayed correctly. The user is responsible for ensuring that the settings are correct.
LexCom itself does not offer spare parts or information for ASA products that go beyond the database content.
ASA products are ordered using the ASA order form.
Only natural and legal persons with unlimited legal capacity are permitted to place orders. If the order is placed by a representative of the user, LexCom is entitled to request proof of power of representation. LexCom determines the details of the proof of representation; the representative must be named (e.g. entry "Managing Director" in the "Position" field).
LexCom will notify the user of the completion of their order by (unencrypted) email. The access data (company ID, user name and password) will be sent to the user by LexCom or its importer to the address specified in the order process. The ASA access data uniquely identifies the user. The user can change their password at any time when using ASA products. LexCom will not ask a user for their password by email or telephone. If a user with account administration rights is permitted to create additional users under their company ID, they shall register them truthfully and inform them of the confidentiality of the access data.
A user agreement may also be concluded when LexCom invites the user to use ASA products free of charge by sending them access data. The user agreement is concluded when the user enters their login details.
LexCom reserves the right to revoke the user's registration at any time without notice and to block the user's access if the user provides false information during registration or violates his obligations under the user agreement (see in particular § 5).
All personal data collected from the user will be treated in accordance with the data protection laws applicable to LexCom. LexCom's Privacy Policy applies.
LexCom grants the user the non-exclusive right to use the ASA products for the term of the agreement, subject to full payment of the fees due. The user may not rent, lend, sell, sublicense, transfer to third parties for use, assign or transfer the ASA products themselves or the rights of use thereto, nor may they copy the ASA products or authorise the copying of the ASA products, either in part or in whole, except in the cases expressly permitted herein.
The user assures that the user content and his other entries and communications do not violate any laws or the rights of third parties and do not adversely affect other data or LexCom's data processing system. This applies in particular to personal data (including chassis numbers) and intellectual property rights (e.g. copyrights and trademark rights, etc.). In particular, the user is prohibited from offering or requesting information and data that violates criminal or other legal provisions or whose trade is prohibited or subject to approval.
In the event of an infringement, the user is obliged to indemnify LexCom against all claims asserted against LexCom by third parties as a result of a legal infringement; this does not apply if the user has not acted culpably. In the event of an infringement, the user is obliged to provide LexCom, upon request, with all information necessary for the defence, truthfully and completely, in the event of a claim by third parties, which is necessary for the examination of the claims and a defence against them. Any liability of the user beyond these provisions remains unaffected.
The complete or partial reverse engineering of ASA products is not permitted.
The use of ASA products – in particular the chassis number query function – is primarily for the purpose of identifying necessary spare parts for a vehicle and purchasing them via ASA. The user shall only use ASA products to an extent that does not significantly exceed the usual scope of use for this purpose. If use exceeds this purpose and/or the usual scope of use, LexCom reserves the right to restrict or block access to ASA.
Users may not reproduce, store in other media, distribute or modify the information, data, drawings, specifications and documentation integrated into ASA products (the "ASA material") except for their intended use. Access to the ASA material by means of automated processes (e.g. robots, spider tools, etc.) or in any other way that deviates from natural user behaviour is not permitted. Printing and storing individual pages is only permitted for the intended use. This does not include, in particular, forwarding the ASA material to other persons within one's own company.
The user data generated within the framework of user administration (user name, name and email address) must be assigned as individually as possible and assigned to a specific user. The user must keep this individual access data (user name and password) secret and may not share it with third parties or pass it on to third parties.
Each user may only register once to use ASA products.
The user undertakes to ensure a high-performance Internet connection with regular access to the Internet for the correct operation of ASA products, to install any updates received in a timely manner, to read all documentation accompanying the devices/software carefully, to observe the instructions and to follow the user manuals. If you have any questions or problems, please contact LexCom customer service. All costs or damages incurred as a result of measures taken without consultation with LexCom shall be borne by the user.
The fees can be found in the price list for the use of ASA products*.
All prices are gross prices and include the applicable statutory value added tax, depending on the place of residence or registered office of the service recipient (EU/third countries).
The subscription begins in the month of the first payment/direct debit or the first credit card charge. It has a term of 36 months and is extended by a further 6 months if it is not cancelled with 6 weeks' notice to the end of the term. Cancellation is effected by the user sending written notice of cancellation to LexCom using the contact form at www.myasainfo.com -> "Contact" or by email to contracts@lexcom.de.
All fees are billed either by invoice, credit card or direct debit, depending on the user's location. The user must ensure that the account or credit card has sufficient funds and that the credit card and bank details are valid and correct. When billing by invoice, the user bears all transfer fees.
If a dealer has been stripped of its status as an authorised dealer, the dealer may terminate its ASA licence agreement at the end of the respective month upon termination of this status. To comply with this notice period, an email must be sent to contracts@lexcom.de.com stating this reason.
In accordance with the nature of the platform, purchase contracts initiated via ASA are concluded by means of electronic communication. Declarations of intent are regularly submitted by email.
Users acknowledge the unrestricted validity of declarations of intent transmitted in this way in accordance with the following provisions:
The usual information must not be suppressed or circumvented by anonymisation in the email; i.e. it must contain the name and email address of the sender, the time of sending (date and time) and a reproduction of the sender's name at the end of the message. Subject to proof to the contrary, an email received within the scope of this provision shall be deemed to originate from the other partner.
All communications must be written in German or English and the appropriate "Contact" module must be used.

LexCom shall be liable to the user without limitation for all damages caused by LexCom and its legal representatives or vicarious agents in cases of intent or gross negligence.
In cases of slight negligence, LexCom shall be liable without limitation in the event of injury to life, limb or health. Otherwise, LexCom shall only be liable if the company has breached a material contractual obligation (cardinal obligation). Cardinal obligations are obligations whose fulfilment is essential for the proper execution of the contract, whose breach jeopardises the achievement of the purpose of the contract and on whose compliance the contractual partner may regularly rely. In such cases, liability is limited to compensation for foreseeable, typically occurring damage.
Liability under the provisions of the Product Liability Act remains unaffected.
The user indemnifies LexCom against all claims asserted against LexCom by other users or other third parties due to an infringement of their rights by the content posted by the user in an ASA product. The user shall bear all reasonable costs incurred by LexCom due to an infringement of third-party rights, including reasonable costs incurred for legal defence. All further rights and claims for damages by LexCom remain unaffected. The user has the right to prove that LexCom actually incurred lower costs.
If the user's content infringes the rights of third parties, the user shall, at LexCom's discretion, either obtain the right to use the content at the user's own expense or make the content free of property rights.
German law shall apply, excluding the Uniform U.N. Sales Convention.
The place of performance for all mutual services under the contract is Munich.
The place of jurisdiction shall be either the user's place of business or Munich, Germany, at LexCom's discretion.
These Terms and Conditions are available in German and in various other languages. In case of doubt, the German version shall be relevant for the interpretation of the Terms and Conditions.
LexCom reserves the right to amend these Terms and Conditions at any time without giving reasons. The user will be notified of the amendment by electronic notification within the framework of the use of ASA. If the user does not object to the amendments within four weeks of receiving the notification, the amended provisions shall be deemed to have been accepted.
Excluded from the right to change under this clause are provisions that affect the main performance obligations of the contracting parties and thus significantly alter the relationship between main and counter-performance obligations, as well as other fundamental changes to the contractual obligations that are equivalent to the conclusion of a new contract. Such changes require an express contractual agreement.
